Marketplace Terms of Use

1. Agreement and Terms

These Marketplace Terms (“Marketplace Terms”) describe the applicable terms for your use of the portions of our Sites designated at the NFCC Financial Health Navigator Marketplace (“Marketplace”). Our Terms of Use are hereby incorporated by reference, and any capitalized terms not defined herein have the meaning assigned to them in the Terms of Use.

The Marketplace is intended for a United States (“U.S.”) audience and only for persons who are at least 18 years of age (or the age of majority in your jurisdiction, if higher). Services (as defined below) on the Marketplace may not be available or accessible outside the United States. If you are less than 18 years of age (or the age of majority in your jurisdiction, if higher), or if you are not a U.S. resident, you may not access the Marketplace or Purchase any Services through the Marketplace.

By using the Marketplace, you agree to these Marketplace Terms, our website Terms of Use and our Privacy Policy. In the event of conflict the following order or priority applies: (1) our Privacy Policy; (2) these Marketplace Terms, and (3) the Terms of Use.

We may change these Marketplace Terms at any time, and such changes will be posted on the Marketplace, with the date of the last revision listed as the “Effective Date” at the bottom of these Marketplace Terms. Any modifications will be effective immediately upon such posting. By using the Marketplace or by making any Purchase through the Marketplace following the change you consent to any changes to our Marketplace Terms.

Your affirmative act of connecting with a third party service provider through the Marketplace constitutes your electronic signature to these Marketplace Terms and your consent to enter into this agreement electronically.

2. Important Notes Regarding Services

The Marketplace is a directory of companies curated by NFCC that provide financial services and products (each a “Service”) available for purchase, license, access, and/or subscription, depending on the Service (collectively, regardless of method, “Purchase”) from the applicable third-party provider (each a “Vendor”). The Services are made, sold or otherwise made available by third parties, and not by NFCC®. NFCC® is providing a directory of potential Services for Purchase, but you acknowledge and agree that you are not Purchasing the Services from NFCC® or on or through the Marketplace. NFCC® is not responsible for providing any Services to you nor are we responsible for any interactions that you may have with any persons, organizations, or other third parties not affiliated with the NFCC® that are found on or through your use of the Marketplace.

You will need to contract separately with the third-party provider of the applicable Service (each a “Vendor”). Any representations, warranties and other commitments regarding all Services are solely and exclusively between you and the applicable Vendor, as set forth in that Vendor’s terms of use, end user license agreement or similar document for the Services (“Vendor Terms”).

The Marketplace is not the only way you can Purchase Services. You are free to Purchase any Service directly from the applicable Vendor outside of the Marketplace. If you Purchase directly from a Vendor, your relationship will be only with that Vendor and not the NFCC®, including with respect to any cancellations or refunds. Your decision whether or not to Purchase any Services, whether from us or from a Vendor directly, will not impact your relationship with the NFCC®.

Although you are not Purchasing any Services from NFCC®, NFCC® may receive financial compensation from or on behalf of the applicable Vendor if you access a Vendor’s website through the Marketplace and/or Purchase a Service listed on the Marketplace.

3. Third Party Websites

By clicking the link to a Vendor’s website, you understand that you will leave the Marketplace and become subject to that Vendor’s website’s terms of use and/or privacy policies. The NFCC® does not control and is not responsible for the content or operation of such websites. By providing links to such websites, NFCC® does not approve, warrant, endorse, or otherwise make any representation about the websites, the Vendors, or the Services that may be Purchased through them. You should exercise your own independent judgment in evaluating and using all third-party websites. NFCC® has no responsibility for your access and use of any third-party website, service, or content. Your dealings with such websites, including your Purchase of Services from any third-party Vendor through such websites, are solely and exclusively between you and that third-party Vendor, and subject exclusively to the terms set forth on that website or provided by that third-party Vendor. You specifically agree that NFCC® is not responsible, and shall have no liability, for any loss or damage of any sort resulting or arising from your use of or dealings with any third-party Vendors or their websites, including any Services Purchased through them.

4. Termination

We reserve the right to bar you from using the Marketplace if you violate these Marketplace Terms or any Vendor Terms. If we bar you from using the Marketplace, you must immediately stop all use thereof and must not try to circumvent any measures we put in place to implement your ban, including by creating a new account or by using another person’s account. Upon the expiration or termination of your subscription or access to a Service, you must stop using the Service and destroy all electronic copies of the Service in your possession or control and must immediately uninstall and delete any mobile applications for the applicable Service, in each case except as expressly permitted by the applicable Vendor Terms.

5. Services for Personal Use Only

The Services available for Purchase through this Marketplace are for personal use only. You represent and warrant that you are Purchasing the Services from the Marketplace for your own use only and not for resale or export. You further represent and warrant that all Purchases are intended for use solely within the U.S.

6. Privacy

Our Privacy Policy governs the processing of all personal data collected from you in connection with your Purchase of Services through the Marketplace. Your use of any Service, and the processing of all personal data collected from you in connection with your use of Services, will be governed by the applicable Vendor’s privacy policy.

7. No Warranty

Nothing within these Marketplace Terms should be interpreted to imply or is meant or implied to be a warranty by NFCC® to you with respect to any Services made available for Purchase through the Marketplace. As noted above, NFCC® does not directly make, sell or license the Services featured on the Marketplace, and is not responsible for providing or delivering any Services advertised on the Marketplace to you. NFCC® therefore provides no independent warranty for any such Services. Any representations, warranties and other commitments regarding all Services are made by and solely between the applicable Vendor and you, as set forth in the applicable Vendor Terms. Your sole and exclusive remedy for any problem with the Services or breach of any accompanying warranty shall be limited to those warranties and remedies provided by the Vendors.

NFCC® makes no representations, warranties or guarantees, express or implied, concerning the suitability of the Services for your use or needs. All Service-related information included on the Marketplace is based on information received from the Vendors and is shared in good faith by NFCC® through the Marketplace for your reference and convenience. We cannot and do not guarantee the accuracy, completeness, timeliness, correctness, or reliability of any information or content made available through the Marketplace. Therefore, your use the Marketplace is at your own risk. You acknowledge and agree that you are not relying on any communication by NFCC®, but rather that you have used your own independent judgment, and/or the advice or judgment of third-parties other than NFCC®, in selecting and Purchasing the Services and whether such Services are appropriate or suitable for your specific use.

You further acknowledge and agree that the Marketplace the information provided on this Site is for general informational purposes only and does not constitute financial, investment, or tax advice. You should consult with a qualified professional for advice specific to your financial or tax situation.

EXCEPT WITH RESPECT TO WARRANTIES EXPRESSLY MADE BY A VENDOR PURSUANT TO ITS VENDOR TERMS, THE SERVICES ARE SET FORTH ON THE MARKETPLACE “AS IS,” “WHERE IS,” AND WITHOUT ANY REPRESENTATIONS OR WARRANTIES BY NFCC®, EXPRESS OR IMPLIED, AND NFCC® SPECIFICALLY DISCLAIMS AND EXCLUDES ALL OTHER EXPRESS AND IMPLIED WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OF ANY OTHER TYPE, REGARDLESS OF WHETHER ARISING BY LAW (STATUTORY OR OTHERWISE), COURSE OF PERFORMANCE, COURSE OF DEALING, OR ANY OTHER LEGAL OR EQUITABLE BASIS. IN ADDITION, NFCC® MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING (1) THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY OR AVAILABILITY OF THE SERVICES, INCLUDING ANY SERVICES REQUESTED OR PROVIDED THROUGH YOUR USE OF THE SERVICES, OR THAT SUCH SERVICES OR RELATED SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND (2) THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THE VENDORS OR ANY PROVIDERS OF SERVICE IN CONNECTION WITH YOUR USE OF THE VENDOR’S SERVICES, INCLUDING ANY REPRESENTATION, WARRANTY, OR GUARANTEE THAT YOUR USE OF THE SERVICES WILL RESULT IN ANY DESIRED FINANCIAL OUTCOME, THE REDUCTION OR ELIMINATION OF ANY DEBT, OR ANY CREDIT SCORE IMPROVEMENT. IN THE EVENT DISCLAIMER OF WARRANTY STATEMENTS ARE DISALLOWED BY LAW, SUCH EXPRESS OR IMPLIED WARRANTIES SHALL BE DISCLAIMED OR LIMITED TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW.

8. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL WE OR OUR LICENSORS, SERVICE PROVIDERS (WHICH FOR CLARITY DOES NOT INCLUDE VENDORS), EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS AND OUR AND THEIR SUCCESSORS AND ASSIGNS (COLLECTIVELY “RELEASED PARTIES”) BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH THESE MARKETPLACE TERMS OR YOUR USE, OR INABILITY TO USE, THE MARKETPLACE OR ANY SERVICES MADE AVAILABLE FOR PURCHASE THROUGH THE MARKETPLACE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, HOWEVER INCURRED, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, AND/OR LOSS OF DATA, AND WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), OR OTHERWISE, AND EVEN IF YOU OR THE NFCC® HAVE KNOWLEDGE OF THE POSSIBILITY OF SUCH DAMAGES AND PROVIDED THAT, IF A COURT OF COMPETENT JURISDICTION DETERMINES THAT THE FOREGOING LIMITATIONS OF LIABILITY ARE UNENFORCEABLE (E.G., AS AGAINST PUBLIC POLICY), IN NO EVENT WILL OUR MAXIMUM CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE MARKETPLACE TERMS OR YOUR USE, OR INABILITY TO USE, THE MARKETPLACE OR ANY SERVICES PURCHASED THROUGH THE MARKETPLACE EXCEED ONE HUNDRED DOLLARS ($100). SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES OR FOR STRICT LIABILITY IN TORT, SO THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, ANY LIABILITY NFCC® MAY HAVE SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

9. Resolving Disputes with Vendors

If your dispute is regarding a Service (as opposed to a dispute arising out of your use of the Marketplace), we will route your dispute to the applicable Vendor. We will not be a party to any dispute regarding a Service, which will be solely between you and the applicable Vendor. The threshold issue of whether a dispute is regarding a Service will be resolved in accordance with the following paragraph.

10. Governing Law and Venue

Subject to Section 9, these Marketplace Terms and any claim or dispute that you may have against us in connection with or related to these Marketplace Terms, the Marketplace, and any Services made available for Purchase by NFCC®, or Purchased by you, through the Marketplace will be governed by and interpreted in accordance with the laws of the District of Columbia, without regard to the conflict of laws provisions thereof. You agree to the jurisdiction and venue of the courts in the District of Columbia for any dispute involving the NFCC®, our employees, officers, directors, agents and providers, and irrevocably and unconditionally waive any objection to venue of any action in the aforementioned courts and agree not to claim that any such action has been brought in an inconvenient forum.

For the avoidance of doubt, the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply to these Marketplace Terms.

11. Severability

If any provision of these Marketplace Terms is held to be unenforceable or invalid by an arbitrator or court of competent jurisdiction, the remaining portions of the Marketplace Terms will be determined without the unenforceable or invalid provision. All other Marketplace Terms will remain in full force and effect.

12. Miscellaneous

These Marketplace Terms, and any supplemental terms, policies, rules and guidelines posted on the Marketplace, constitute the entire agreement between you and us in connection with the Marketplace and supersede all previous written or oral agreements. You acknowledge that we have the right to seek, at your expense, an injunction to stop or prevent a breach of your obligations. No waiver by us will have effect unless such waiver is set forth in writing and signed by us; nor will any such waiver of any breach or default constitute a waiver of any subsequent breach or default.

13. Survival

Your obligations under the following sections survive termination of these Marketplace Terms: 1 – 12. You may not transfer or assign any rights or obligations under these Marketplace Terms, including any rights to access or use any Services, except for title to any physical components of Services.
